"What's the difference between selling to a third party and an ESOP", "what valuation method should I use for my business", "why do advisors say to start exit planning years early", "what's an earnout" — the plain-language exit-planning questions a small-business owner has long before they ever talk to an M&A advisor. ExitPlan answers them from a hand-curated, fully local reference — no upstream calls, no valuations, nothing stored.
ExitPlan is general educational information about common exit strategies and valuation concepts. It is NOT financial, tax, or legal advice, and it is NOT a valuation of any specific business. Always work with a qualified M&A advisor, accountant, and attorney for your actual situation.
exit_strategy_comparison explains and compares the real exit paths — sale to a third party, transfer to
family, sale to employees via an ESOP, merger/acquisition, liquidation, and gradual wind-down — each with a
description, typical timeline, pros, cons, and best fit. valuation_method_overview explains the three
real valuation methods — asset-based, market/comparable (multiple-based), and income/discounted-cash-flow
(DCF) — with genuine tradeoffs for each, never a specific dollar figure.
valuation_method_selector recommends which method(s) typically fit a business from real characteristics
(asset-heavy, stable cash flow, active comparable sales) — a method recommendation, never a calculated
valuation. succession_timeline_checklist backward-plans succession preparation from years-before-exit,
with real reasoning tied to why advisors recommend starting years in advance: tax planning, finding and
training a successor, and maximizing eventual valuation. exitplan_glossary defines terms like ESOP,
earnout, letter of intent, due diligence, and goodwill.
Not financial, tax, or legal advice, not a valuation of any specific business, and not a substitute for a qualified M&A advisor, accountant, or attorney. The valuation-method tools explain and recommend METHODS — they never compute or claim a specific dollar value for any business, because that requires real financial data and professional judgment this connector doesn't have.

What ExitPlan is. ExitPlan is a connector (an MCP server and REST API) that AI assistants and personal agents call on your behalf for small-business exit/succession-planning educational content: an exit-strategy comparison, a valuation-method reference and selector, a succession-timeline checklist, and a glossary. You interact with your assistant; the assistant sends us only the arguments needed for that one lookup or recommendation. ExitPlan is general education, NOT financial, tax, or legal advice, and NOT a valuation of any specific business.
What we receive. The arguments of each tool call — a strategy or method name, a glossary term, a years-before-exit figure, or a handful of yes/no facts about a business's characteristics (e.g. whether it's asset-heavy) — the technical headers needed to serve the request (an IP address or a client identifier supplied by the assistant, and a Pro API key if you have one), and standard server logs. We never receive your actual business's name, financials, or any real valuation figure.
Everything is computed on our server and nothing is stored. Every response is drawn from hand-curated, bundled reference content or a transparent local recommendation; no request is forwarded to any third party — there is no M&A platform, valuation firm, or brokerage integration of any kind — and no query is logged in request bodies, recorded, or used to train anything.
What we do not receive or store. We do not receive your conversation with the assistant, your actual business's financial statements, or any real valuation or deal information, and we do not build a profile from your queries: each request is answered independently and nothing carries over between requests. Rate-limit counters (a client identifier and timestamps) are held in memory for at most 24 hours. Hosting-provider access logs, which contain IP addresses and request paths but not request bodies, are retained for up to 30 days for security and abuse prevention.
Sub-processors. None — every tool is computed locally, and there is no integration with any M&A platform, broker, or valuation firm. Hosting: Vercel (United States regions).
Legal bases and your rights. For users in California, the EU/UK and elsewhere, our processing is necessary to provide the service you request through your assistant. Because we store no personal data beyond short-lived logs, requests to access, correct or delete personal data are usually satisfied automatically; you can still contact agent@connectorbay.com and we will respond within 30 days. We do not sell or share personal information and do not use your data to train models.
Children. ExitPlan is a general-audience service for business owners and other adults; we knowingly collect no personal data from anyone.
Changes. We will post changes here with a new effective date.
