About

BoardGovernance is a nonprofit board-governance basics toolkit. fiduciary_duties explains the duty of care, loyalty, and obedience with definitions and practical examples. governance_vs_management explains what the board governs (mission, strategy, ED hiring/evaluation) versus what staff manages (day-to-day operations), including the common board-micromanagement failure mode. governance_glossary defines conflict-of-interest policy, quorum, executive session, bylaws, board resolution, ex officio member, term limits, and indemnification. board_committee_structure covers finance, governance/nominating, and fundraising/development committees. board_self_assessment_checklist gives self-assessment questions across five areas. General reference, not legal advice -- a board's own bylaws and applicable law always take precedence.

What BoardGovernance is for

"What are the three fiduciary duties of a nonprofit board member", "what's the actual difference between governance and management", "what does executive session mean", "what committees should our board have", "give me board self-assessment questions" -- the vocabulary and structure of nonprofit board service, answered locally from a hand-curated governance reference.

What it does

fiduciary_duties explains a board member's fiduciary duty and its three real sub-duties: Care (be informed and actively engaged), Loyalty (put the organization's interest first and disclose conflicts), and Obedience (stay faithful to mission, bylaws, and law) -- each with a definition and a practical example. governance_vs_management explains the real governance-vs-management line: what the board governs (mission, strategy, hiring and evaluating the executive director, fiduciary oversight) versus what staff manages (day-to-day operations), plus the common board-micromanagement failure mode. governance_glossary defines core terms: conflict-of-interest policy, quorum, executive session, bylaws, board resolution, ex officio member, term limits, and indemnification. board_committee_structure covers the common standing committees -- finance, governance/nominating, fundraising/development -- each with its purpose and typical responsibilities. board_self_assessment_checklist gives a self-assessment question checklist across five areas: board composition, meeting effectiveness, strategic oversight, financial oversight, and the executive relationship.

What it is not

General nonprofit board-governance reference material, not legal advice. A specific board's own bylaws, state nonprofit corporation law, and its governing documents always take precedence over general governance concepts like these -- consult a nonprofit attorney for anything bylaws-specific, and treat the standing-committee structure and self-assessment questions as a common starting point to adapt, not a mandated template.

Privacy policy

BoardGovernance — Privacy Policy

Effective 28 September 2026. Unify Dynamics LLC ("we", "us"), Menlo Park, California.

What BoardGovernance is. BoardGovernance is a connector (an MCP server and REST API) that AI assistants and personal agents call on your behalf for a fully local nonprofit board-governance reference lookup. You interact with your assistant; the assistant sends us only the arguments needed for that one tool call.

What we receive. The arguments of each tool call — a duty, committee, category, or glossary term you're looking up — the technical headers needed to serve the request (an IP address or a client identifier supplied by the assistant, and a Pro API key if you have one), and standard server logs.

Everything is read locally from a bundled reference, and nothing is stored. There is no upstream call at all — this connector has no live lookups and no dataset about any real organization or board — and no request is logged in request bodies, recorded, or used to train anything.

What we do not receive or store. We do not receive your conversation with the assistant, and we do not build a profile from your queries: each request is answered independently and nothing carries over between requests. Rate-limit counters (a client identifier and timestamps) are held in memory for at most 24 hours. Hosting-provider access logs, which contain IP addresses and request paths but not request bodies, are retained for up to 30 days for security and abuse prevention.

Sub-processors. None — every response is read from a bundled reference with no upstream call of any kind. Hosting: Vercel (United States regions).

Legal bases and your rights. Our processing is necessary to provide the service you request through your assistant. Because we store no personal data beyond short-lived logs, requests to access, correct or delete personal data are usually satisfied automatically; you can still contact agent@connectorbay.com and we will respond within 30 days. We do not sell or share personal information and do not use your data to train models.

Children. BoardGovernance is a general-audience service operated by the adult using the assistant.

Changes. We will post changes here with a new effective date.

Terms of service

BoardGovernance — Terms of Service

Effective 28 September 2026. These terms govern use of the BoardGovernance connector ("the Service") operated by Unify Dynamics LLC ("we", "us").

  1. The Service. BoardGovernance is a fully local nonprofit board-governance basics reference: fiduciary duties, the governance-vs-management distinction, a governance-terms glossary, a standing-committee structure reference, and a board self-assessment checklist. It is accessed through an AI assistant or directly over MCP or HTTP.
  2. General reference, not legal advice. BoardGovernance provides general nonprofit governance concepts and terminology for education and reference. It is not legal advice, and it does not know or apply any specific organization's bylaws, articles of incorporation, or state nonprofit corporation law, which always take precedence over general concepts like these.
  3. Your organization's judgment. You are responsible for deciding how, or whether, to apply any concept, committee structure, or self-assessment question here to your own board.
  4. Acceptable use. Automated use within the published rate limits is welcome.
  5. Availability. The Service is provided "as is" without warranty. We may change, limit or discontinue it at any time.
  6. Data. Our Privacy Policy describes what we process. In short: every response is read from a bundled reference and nothing about a real organization is stored.
  7. Pro keys. Optional Pro API keys are issued at our discretion, are personal to the holder and may be revoked for abuse.
  8. Liability. To the fullest extent permitted by law, Unify Dynamics LLC is not liable for any loss arising from use of, or reliance on, the Service, including any governance decision made using it. Our total liability is limited to US $100.
  9. Governing law. California law; venue in San Mateo County, California.
